World Bank recruiting Corporate Governance Consultant

World Bank promotes sustainable private sector investment in developing countries as a way to reduce poverty and improve peoples lives. In addition to its investment operations, World Bank undertakes advisory services Programmes, including in the area of corporate governance through its Europe and Central Asia Corporate Governance Programme (ECACGP). The objectives of the Programme are to promote direct investment in the private sector, build local institutional capacity for delivery of corporate governance services, assist companies and financial institutions to improve their corporate governance practices, and help improve the business enabling environment.

ECACGP's overall goal is to improve the current state of corporate governance, and of delivery of corporate governance services, in Europe and Central Asia (ECA), including in Bosnia and Herzegovina.

ECACGP has four objectives:

  • Raise public awareness on select CG issues for companies in the ECA region through public awareness raising events and CG-related publications.

  • Assist in the development of the CG framework (laws, codes, regulations and other instruments, such as CG Scorecards to support good CG practices) in certain countries in the ECA region.

  • Support the building and development of local institutional capacity for the promotion and implementation of good corporate governance practices in selected ECA countries.

  • Assist companies in the ECA region to implement good CG practices, leading to improved performance (reduced capital cost, higher valuations, improve loan terms) and/or efficiency (improved operations, clearer structures, better defined roles, etc.). This will be achieved through the delivery of one-to-one consulting work as well as training events and workshops.

Scope of Work

The Consultant will be responsible for delivering effective and successful Programme activities in Bosnia and Herzegovina (and on an ad hoc basis, assist as necessary in other countries covered by the ECACGP).

Duties and Responsibilities:

  • Develop contacts, manage relationships and engage with potential client companies and banks for the delivery of corporate governance services;

  • Conduct corporate governance assessments and reviews, with relevant lists of recommendations for client companies and banks, and assist in implementation of recommendations;

  • Provide professional consultations to companies and banks on corporate governance and related issues;

  • Manage and build relationships with local partner institutions and provide capacity-building support as needed, including through coordination with the Programme team;

  • Develop project and seminar materials and tools for companies and banks;

  • Supporting relevant institutions in developing corporate governance-related legislation and regulations;

  • Write articles on corporate governance issues;

  • Assist Programme management in any other duties that may be required in relation to the Programme as described.
